BAFA & BAFCA to hold EGMs in February

BAFA and BAFCA have today announced EGMs (or Extraordinary General Meetings) to be held in February. Don’t be put off by the name, it simply is a term for a General (or ‘everyone invited’) meeting that falls outside of the standard meeting schedule.

The BAFA meeting is for Members to vote on 2 things, the first is a number of changes to the existing Articles of Association and the second is to vote in a new Board Member, namely Colin Allen.

At first glance it appears that these changes are so that BAFA are recognised by Sport England and can receive valuable funding. One standout element is that any reference to BAFCA (The British American Football Coaches Association) is to be replaced by BAFCC (The British American Football Coaches Committee).

This leads us nicely into BAFCA’s planned EGM, they too are due to make a number of changes, again the assumption is that this is so that British American Football gets recognised by Sport England. The biggest change is that BAFCA will become a sub-committee under BAFA and be renamed to BAFCC. BAFCA’s summary of changes also details a huge shake up in their Directorial structure.

We are going to take a deeper dive into all the changes in a follow on article but for now, here are the 2 announcement in full:

The meeting will be held in collaboration with the British American Football Coaches Association (BAFCA) EGM, also taking place on 22 February at the same location, starting at 11.00.

Both meetings will bring together the British American football community and provide an opportunity to talk to BAFA officials and discuss the future direction of the game.

Updates and presentations during the day will include:

Members of any club that is registered to play in one or more BAFA competitions are welcome and encouraged to attend, and will be able to participate in all of the presentations and workshops.

For the EGM vote, which will take place at the start of the day at 10.00, two members from each club can attend, with one vote available per club.  The EGM vote is expected to last for around 20 minutes only – further details can be found below.

There is a proxy vote option for those unable to attend – members can nominate someone else attending the meeting to vote for them and should notify BAFA of who they have nominated.

At the BAFA EGM, two resolutions will be considered:

Resolution One:
That the existing articles of association of the Company be and are hereby replaced with the new articles of association attached to this notice with immediate effect.

Over the past year, the Board of Directors at BAFA has been working very closely with Sport England to ensure BAFA is Tier 3 compliant according to ‘A Code for Sports Governance’. By adhering to this standard of governance, we will be eligible to pitch for funding from Sport England this year for the 2012-2025 round of funding.

We asked Farrer & Co, a law firm recommended by Sport England, to review our existing Articles of Association in conjunction with the comments from our first governance review with Sport England. The changes proposed are at their recommendation for us to be complaint.

You can review these changes in this document, which features:

1. The current Articles of Association
2. The Articles with proposed reline tracked changes
3. A clean version of the proposal changes

You can also view the official AGM notice.

Resolution Two:
The appoint Colin Allen to the BAFA Board of Directors.

Colin Allen biography:
Colin Allen has worked within the field of elite national athlete programme development for over 13 years. Colin started his career as an Athlete Investment Officer at UK Sport in 2006, before originally joining the Talented Athlete Scholarship Scheme (TASS) in July 2010 as a Project Manager. He moved across to Northumbria University in June 2014, to work as part of their performance sport programme as a Talent Identification and Pathway Manger, before re-joining TASS in October 2015.
